1. Introduction

Welcome to GALAXY ENTERPRISESS (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, digital communication services, WhatsApp Official Business API services, Rich Communication Services (RCS), and any related products or services provided by GALAXY ENTERPRISESS (collectively referred to as the “Services”).

By accessing or using our Services, you agree to be legally bound by these Terms in accordance with applicable Indian laws. If you do not agree with any part of these Terms, you must discontinue use of the Services immediately.

2. Definitions

For the purpose of these Terms:

  • “User” means any individual or entity accessing or using our Services.
  • “Account” refers to a registered profile created to access Services.
  • “WhatsApp API” refers to the WhatsApp Business Platform provided by Meta Platforms, Inc.
  • “RCS” refers to Rich Communication Services enabled through telecom operators or Google.
  • “Platform” refers to our website, communication tools, and associated systems.
  • “Content” means text, data, images, messages, or other materials transmitted via our Services.

3. Acceptance of Terms

By registering an account, accessing our website, or using our communication services, you confirm that:

  • You have read and understood these Terms.
  • You agree to comply with all applicable laws and regulations.
  • You accept Meta Business Messaging Policies and RCS policies when using those services.

These Terms constitute a legally binding agreement under the Indian Contract Act, 1872.

4. Description of Services

GALAXY ENTERPRISESS provides digital communication and messaging facilitation services, including but not limited to:

  • WhatsApp Official Business API integration
  • RCS messaging services
  • Business messaging automation
  • Customer communication solutions
  • Related technical and support services

We do not own WhatsApp or RCS infrastructure. We act as a service provider facilitating compliant usage.

5. Eligibility

You must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into a binding contract.
  • Use the Services only for lawful business purposes.

We reserve the right to suspend accounts that violate eligibility criteria.

6. Account Registration

To access certain Services, you may be required to create an Account. You agree to:

  • Provide accurate and complete information.
  • Maintain confidentiality of login credentials.
  • Accept responsibility for all activities under your Account.

We may suspend or terminate accounts providing false information.

7. User Responsibilities

You agree that you will:

  • Use Services only for lawful purposes.
  • Obtain explicit opt-in consent from end users before sending messages.
  • Not send spam, fraudulent, abusive, or misleading communications.
  • Comply with TRAI regulations, IT Act 2000, and Meta Messaging Policies.
  • Not transmit harmful code or malware.

Violation may result in immediate suspension.

8. Payment & Billing Terms

Where Services are paid:

  • Fees shall be communicated in advance.
  • Payments must be made within agreed timelines.
  • Taxes including GST (if applicable) are payable by the User.
  • Delayed payments may attract suspension or late charges.

All payments are non-refundable unless expressly stated.

9. Subscription Renewal & Termination

If applicable:

  • Subscriptions may auto-renew unless cancelled.
  • Users may terminate by written notice.
  • We reserve the right to suspend or terminate Services for breach of Terms.
  • Termination does not waive outstanding payment obligations.

10. Use of WhatsApp Official API & RCS

Users acknowledge:

  • WhatsApp services are governed by Meta’s Business Messaging Policy.
  • RCS messaging must comply with telecom operator and Google policies.
  • Message templates must be pre-approved where required.
  • Explicit user consent is mandatory.

GALAXY ENTERPRISESS is not responsible for bans, restrictions, or penalties imposed by Meta or telecom operators due to User violations.

11. Message Delivery & Compliance Policy

We do not guarantee:

  • 100% message delivery.
  • Continuous uptime without interruptions.
  • Approval of templates by Meta.

Delivery depends on third-party platforms and network operators. Users are solely responsible for compliance with anti-spam laws.

12. Intellectual Property Rights

All website content, branding, logos, and proprietary systems belong to GALAXY ENTERPRISESS.

Users may not:

  • Copy or reproduce proprietary materials.
  • Reverse engineer our systems.
  • Use our trademarks without permission.

WhatsApp and Meta trademarks belong to their respective owners.

13. Confidentiality

Both parties agree to maintain confidentiality of:

  • Business data
  • Technical information
  • Customer information

Confidential information shall not be disclosed without written consent unless required by law.

14. Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis.

We disclaim:

  • Implied warranties of merchantability.
  • Fitness for a particular purpose.
  • Non-infringement.

We do not guarantee uninterrupted or error-free Services.

15. Limitation of Liability

To the maximum extent permitted by Indian law:

GALAXY ENTERPRISESS shall not be liable for:

  • Indirect or consequential damages.
  • Loss of profits or data.
  • Service interruptions caused by third parties.

Total liability shall not exceed the amount paid by the User in the preceding three months.

16. Indemnification

You agree to indemnify and hold harmless GALAXY ENTERPRISESS from any claims, losses, damages, or legal expenses arising from:

  • Violation of these Terms.
  • Misuse of messaging services.
  • Breach of Meta or RCS policies.

17. Governing Law (India)

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts located in Pune, Maharashtra.

18. Changes to Terms

We may update these Terms periodically.

Continued use of Services after updates constitutes acceptance of revised Terms.
